Terms of service

The rules of the road for using EdgarHawk.

Agreement

By creating an account or using EdgarHawk (“the service”), you agree to these Terms of Service, our Privacy Policy, and our Disclaimer. If you don’t agree, don’t use the service.

Eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction. If you’re using EdgarHawk on behalf of a company or other entity, you represent that you have authority to bind that entity to these terms.

Your account

  • You’re responsible for keeping your password confidential and for everything that happens under your account.
  • One person, one account. Don’t share credentials, don’t scrape the service via the authenticated surface, don’t resell access.
  • Provide a real email address you can receive mail at — that’s how we deliver the alerts you signed up for.
  • Tell us promptly if you suspect your account has been accessed by someone else.

Acceptable use

Don’t use EdgarHawk to:

  • Break the law, infringe anyone’s rights, or violate any regulation that applies to you (including securities law).
  • Probe, scan, overload, disrupt, or attempt to gain unauthorized access to the service or its infrastructure.
  • Use automation to scrape, mirror, or republish data we surface in a way that competes with the service.
  • Send unsolicited messages, harass other users, or impersonate anyone.
  • Reverse-engineer, decompile, or attempt to extract the source code or AI models behind the service.

Not investment advice

EdgarHawk is a research and monitoring tool. Nothing on the service constitutes investment advice, a recommendation, or a solicitation. We are not a broker-dealer or investment adviser. See the Disclaimer for the full statement — it is incorporated into these terms by reference.

Service availability

We aim to keep EdgarHawk available and timely, but we don’t guarantee uptime, alert latency, or freshness of any specific filing. Filings can be delayed by SEC EDGAR itself, by upstream vendors, or by our own systems. The service may be unavailable during maintenance, incidents, or for any reason.

Pricing and changes

During Early Access, EdgarHawk is offered free of charge. We may introduce paid tiers later; existing accounts will get reasonable notice and a chance to keep, change, or cancel their plan before any charge. We may modify, suspend, or discontinue any feature at any time.

Intellectual property

The service — software, design, copy, AI-generated narratives, and the EdgarHawk name and logo — is owned by us. You get a personal, limited, non-exclusive, non-transferable license to use the service while your account is in good standing. SEC filing data is public record and not ours; how we present, score, and summarize it is.

No warranty

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We don’t warrant that the service will be error-free, secure, or uninterrupted.

Limitation of liability

To the maximum extent permitted by law, EdgarHawk and its operators are not liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or trading losses, arising out of or related to your use of the service. Our total cumulative liability for any claim arising out of these terms or the service is limited to the greater of (a) the fees you paid us in the twelve months before the claim, or (b) USD $100.

Indemnity

You agree to indemnify and hold us harmless from any claim, demand, or damages arising out of your breach of these terms, your misuse of the service, or your violation of any law or third-party right.

Termination

You can stop using the service at any time. We can suspend or terminate your account, with or without notice, if you breach these terms or if continued service would expose us to risk. The provisions covering ownership, disclaimer, limitation of liability, indemnity, and dispute resolution survive termination.

Changes to these terms

We may update these terms. If we make a material change we’ll update the “Last updated” date above and notify existing subscribers by email. Continued use of the service after a material change means you accept the new terms. If you don’t accept, stop using the service and email us to delete your account.

Governing law

These terms are governed by the laws of the United States and the State of Washington, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms or the service will be resolved in the state or federal courts located in Washington, and you consent to personal jurisdiction there.

Miscellaneous

If any provision of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You can’t assign these terms without our consent; we may assign them to a successor in connection with a merger, acquisition, or sale of assets. These terms are the entire agreement between you and us regarding the service and supersede any prior agreement.
